Board of directors

The Board of Directors is responsible to guide the Company’s business. Currently, it has nine effective members, with four independents – above the required by Novo Mercado segment, that oversees the executive management team. The Board members are elected at the general shareholders’ meeting for a two-year term, with re-election being permitted. The Board is responsible for electing the directors and evaluating their performance, approve, and monitor the strategic plan proposed by the Company’s executives. Find the members below:

Chairman

Henrique Moraes Salvador Silva

Election date: 04.2023 / End of term: until 04.2025

Dr. Henrique holds a medical degree from the Universidade Federal de Minas Gerais (1982) and has a medical residency in gynecologist and obstetrician from Hospital Mater Dei and Hospital Alberto Cavalcanti. He is a mastology and gynecologist specialist from Guy’s Hospital (England), University of Pittsburgh (United States) and Instituto Nazionale Per Lo Studio de 1ª Cura Del Tumore (Italy). He also has a specialization in human reproduction from University of Erlangen (Germany) and the University of British Columbia (Canada).

He is nationally recognized as a physician and as a mastologist and has more than 300 publications, 12 published books and received several awards. He has already held and currently occupies important positions in the area, among them, is ex-president and a current board member at National Association of Private Hospitals (ANAHP) since 2019, member of Minas Gerais Academy of Medicine since 2010, ex-president at Brasilian mastology society, gynecologist open teacher at Fundação Dom André Arcoverde-RJ and member of the curator board of Fundação Dom Cabral. He was the clinical and technical director at Rede Mater Dei de Saúde between 1986-2011 and is the Company’s CEO since then.

As part of the succession process of the Salvador Family, according to the material fact of June 26, 2023, Dr. Henrique Salvador has also assumed, on an interim basis, the position of Chairman of the Board of Directors.

Vice-Chairman

Maria Norma Salvador Ligório

Election date: 04.2023 / End of term: until 04.2025

Dra. Maria Norma holds a medical degree from Faculdade de Ciências Médicas de Minas Gerais and made the executive program Advanced Management Program (PGA) at Fundação dom Cabral (FDC) and INSEAD (France). She is a gynecologist, obstetrician and videolaparoscopy specialist.

She has already held and currently occupies important positions in the area, among them, was a board member at National Association of Private Hospitals (ANAHP) and is a member of Minas Gerais Hospitals Association (AHMG). Currently is the financial administrative and commercial vice president of Rede Mater Dei de Saúde.

Márcia Salvador Geo

Election date: 04.2023 / End of term: until 04.2025

Dra. Márcia holds a medical degree from Universidade Federal de Minas Gerais and a business administration degree at FUMEC. She is a gynecologist and obstetrician specialist at FEBRASGO, has graduate degree in urogynecology from St Georges Hospital (England) and made the executive program Advanced Management Program (PGA) at FDC and INSEAD (France).

She has already held and currently occupies important positions in the area, among them, is a SOGIMIG’s executive board member and was in the technical board of the Minas Gerais Regional Council of Medicine (CRMMG). She is lecturer in national/international congresses and author/coauthor of several scientific studies published on national/international papers. She is the executive director at Minas Gerais Hospital Center (SIDHOMG), coordinator of gynecology, obstetrics and urogynecology and the assistance and operational vice president of Rede Mater Dei de Saúde.

José Salvador Silva

Election date: 04.2023 / End of term: until 04.2025

Dr. Salvador holds a medical degree from the Universidade Federal de Minas Gerais (1956). He worked as an obstetrician at Hospital Odilon Behrens, is the former director and current advisory member of the Physician Association of Minas Gerais, is the honorary partner of the Brazilian Society of Mastology, full member of the Brazilian Federation of Gynecology and Obstetrician, member of the international college of surgeons and member of the Medicine Academy of Minas Gerais. He has the title of Honorary Citizen of Belo Horizonte and was elected the health sector leader by Gazeta Mercantil/SP (2001-2002). He founded Rede Mater Dei de Saúde in June, 1980.

 

Renato Moraes Salvador Silva

Election date: 04.2023 / End of term: until 04.2025

Renato Salvador holds a civil engineer degree, with transport engineering specialization. He has a graduate degree in financial management from Fundação Dom Cabral (FDC).

He was Mater Dei’s financial director between 1984 and 1988 and since 2015 is a Board of Director’s member. He is also a board member of VASF (Vale do São Francisco Sistemas de Transmissão) and COSITRANS (Construtora de Sistemas de Transmissão SPE Ltda).

Fernando Daniel de Moura Fonseca

Election date: 10.2024 / End of term: Shareholder’s meeting approving the 2024 fiscal year accounts

Fernando holds a Post-Doctoral degree in Tax Law (UFMG), a Doctorate in Tax Law (USP), a Master’s degree in Tax Law (USP), and a Master of Laws in International Taxation (NYU). Additionally, he has specialization in Tax Law (FGV) and extension studies in International Accounting (UFRJ). He works as a professor of Tax Law (undergraduate and graduate) at the Milton Campos Law School (Minas Gerais) and is a Collaborating Professor affiliated with the stricto sensu Postgraduate Program at the Federal University of Minas Gerais (UFMG). He was elected one of the most admired tax lawyers in Brazil, according to the Anuário Análise Advocacia in 2020 and 2022. He is a Member of the Special Commission on Tax Law of the Federal Council of the Brazilian Bar Association, a Member of the Scientific Council (ad hoc Consultant) of the Journal of Legal Studies of the Superior Court of Justice (REJuriSTJ), a Member of the Brazilian Association of Tax Law (Abradt-MG), and a Member of the Brazilian Institute of Tax Law (IBDT-SP). He has numerous publications in the field of Tax Law.

Independents members of the Board of Directors

Maurício Ceschin

Election date: 04.2023 / End of term: until 04.2025

Dr. Maurício is a general practitioner and gastroenterologist and has a specialization on healthcare system management, marketing, and finance at FGV, gathering more than 30 years of healthcare experience. He was the president of Medial Saúde, partner of Integrare Consultoria. He was also the president of Hospital Sírio-Libanês while he was the vice president of the National Association of Private Hospitals (ANAHP).

In the public sector, he was the president of the National Supplementary Health Agency (ANS) (2009 to 2012). He was the president of Qualicorp and a board of director member of Hospital Sírio Libanês. Currently, he is a healthcare consultant, board member at Mantris – Saúde Corporativa, strategic committee member at Hospital ACCamargo – Cancer Center and board of director member at Rede Mater Dei de Saúde.

Ary Costa Ribeiro

Election date: 04.2023 / End of term: until 04.2025

Dr. Ary holds a medical degree from Universidade Gamma Filho, RJ, he made medicine residency in cardiology and general practitioner in Brazil (RJ) and specialization in cardiology and clinical fisiology in Sweden. He has a health science PhD at Karolinska Institute (Sweden) and holds a graduated degree in management development program (PDG) healthcare at IBMEC/RJ.

He gathers more than 20 years of healthcare management experience having held management positions at Clínica São Vicente, Hospital Pró-Cardíaco (RJ), Hospital Israelita Albert Einstein and HCor (SP). He was a board member at ANAHP, remaining as Editor-in-Chief of the ANAHP Observatory. Currently, he is CEO of the Sabara Hospital Infantil (SP) and is a board of director member at Rede Mater Dei de Saúde.

Geraldo Sardinha Pinto Filho

Election date: 04.2023 / End of term: until 04.2025

He holds a business degree from Universidade Federal de Minas Gerais, with a finance specialization from J. L. Kellogg Northwestern University (USA) and INSEAD (France). He teaches Corporate Finance in the advanced management program at INSEAD with FDC and is partner on November 17th Consultoria Empresarial, company that work in the finance area.

Currently, he is a board member in several companies, such as Rede Mater Dei de Saúde, Moura Dubeux Engenharia/PE, Grupo Morada/SP and Dori Alimentos S.A/SP. He is audit committee coordinator at Rede Mater Dei de Saúde, audit and risk coordinatorr at Moura Dubeux Engenharia/PE, audit member at Grupo Morada/SP and strategic committee member at Dori Alimentos S.A/SP.

Pedro Franco Sales

Election date: 04.2023 / End of term: until 04.2025

Pedro Franco Sales was a founding partner and equity manager at Verde Asset Management between 2015 and 2022, and an analyst and fund manager at Credit Suisse Hedging Griffo (CSHG) from 2005 to 2014. During the period, he was responsible for investments in company shares Brazilian regulations for multimarket and variable income funds. He was a member of the Board of Directors of Cyrela Commercial Properties (currently SYN Prop & Tech) and an analyst of global technology stocks at JGP. Graduated in Electrical Production Engineering from the Pontifical Catholic University of Rio de Janeiro (PUC-Rio), he holds the CFA®

Executive Board

The Executive Board is composed by the Chief Executive Officer (CEO) and 6 executive directors elected by the Board of Directors for a three-year term, re-election being permitted. They are experienced professionals and market experts. The Executive Board is responsible to manage the business and present to the Board of Directors the short and long-term strategies. Chief Executive Officer (CEO)

José Henrique Dias Salvador

He holds a business administration degree from IBMEC and has worked at Rede Mater Dei de Saúde, Hospital Albert Einstein, Dasa and Hospital Sírio Libanês. He has an MBA from Columbia University (USA), a Hospital Management Specialization from FDC and made the executive program Advanced Management Program (PGA) at Fundação Dom Cabral (FDC).

He has already held and occupies important positions in the area. He was the president of Chapter Minas Gerais at Brazilian College for Healthcare Executives (CBEXs), he is a member of Young Presidents’ Organization (YPO) since 2016 and is the president of Private Hospitals National Congress (CONAHP). After his graduation he worked at Hospital Albert Einstein (2009-2010), and as administrative manager at Rede Mater Dei de Saúde. He was the commercial director on 2015 and is the Company’s Operations Director since 2016.

Medical and Assistance Vice President  Director

Felipe Salvador Ligório

Dr. Felipe is a physician and holds a graduate degree from Centro Universitário de Belo Horizonte and an MBA from London Business School. He was the project implementation leader at the International Consortium for Health Outcomes Measurement (ICHOM) during the MBA. He did a hospital management specialization at Universidade do Vale do Rio dos Sinos.

He was an assessor of the technical direction at Rede Mater Dei de Saúde (2011-2013) and at Hospital Mãe de Deus (2013-2014). He was the assistance clinical manager at Rede Mater Dei de Saúde (2014-2018) and is the Company’s Medical Director since 2018.

Commercial and Marketing Vice President Director

Renata Salvador Grande

She has a law degree from Anhembi Morumbi/SP, attended an MBA at Hult International Business School and with a marketing master at the same institute, in which graduated with honor. She has a management and leadership certification at Massachusetts Institute of Technology (MIT).

She worked at Rede Mater Dei de Saúde in the financial and in the administrative area (2006-2010) and was the administrative manager (2014-2019). She worked at HCor/SP in the financial area (2011-2014) and currently is the commercial and marketing director at Rede Mater Dei de Saúde since 2019.

Innovation and New Business Director

Lara Salvador Géo

Lara Salvador Géo has been Innovation and Patient Experience Director at Rede Mater Dei de Saúde since June, 2024. She has a degree in medicine form Pontifícia Universidade Católica de Minas Gerais (PUC -MG) completed in 2019, with an MD and master’s degree in strategy, management of change, and health, and fellow in leadership, at the New York University Stern School of Business, in the United States. She was an assistant to the Techinical Director and Clinical Assistance Manager at Rede Mater Dei de Saúde, and worked between 2020 and 2022 at Eretz.bio – Albert Einstein Hospital as a process specialist and innovation consultant.

Investors Relations and Financial Director

Rafael Cardoso Cordeiro

He holds a Civil Engineer Degree from the Universidade Federal de Minas Gerais, attended the business management graduation program at IBMEC/RJ and strategy, management, and leadership at FDC.

He worked at Andrade Gutierrez Concessões (2002-2016), was the Chief Financial Officer (CFO) at Urba, the urban development company from MRV Group (2016-2020), was in the board of directors of Oi S/A (2011-2015), Contax Participações S.A (2011-2016) and CEMIG (2010-2011). In 2019, graduated at Stanford in the Stanford Executive Program (SEP).

Currently, he is the Investors Relations and Financial Director at Rede Mater Dei de Saúde since 2020 and the founding partner at Reaction, Global Venture Capital, since 2020.

Operations Director

André Soares de Moura Costa

Dr. André holds a degree in Medicine and a Master’s degree in Adult Health from the Federal University of Minas Gerais (2011). He is a specialist in Internal Medicine from the Mario Penna Institute and an Executive MBA from the Dom Cabral Foundation. With eight years of clinical experience in various healthcare sectors, including emergency care, outpatient clinics, hospitalization, and intensive care, Dr. André has been involved in teaching Evidence-Based Medicine and providing training in Health Technology Assessment for both healthcare providers and insurers. In 2018, he became the Medical Manager at Rede Mater Dei, from 2019 to 2023, he served as the General Director of the Betim-Contagem unit. As of 2023, he has been acting as Operations Director.

Financial, Supplies and Administrative Director

Fábio Mascarenhas da Silva

He holds a business administration degree from Pontifícia Universidade Católica (PUC), is graduated in finance from FDC and holds an MBA from IBMEC.

He works at Rede Mater Dei de Saúde since 2003, having had several leadership positions from 2009 to 2013 and senior managing positions from 2014 to 2017. He is the financial director of the company since 2017.

Audit and Risk Commitee

The Audit Committee works as an independent member and currently has 3 members. It is responsible for constantly evaluate the risks, compliances, and internal management controls of the Company, monitoring exposures to risks, conformity to normative standards and governance. Sicomar Benigno de Araújo Soares

Graduated in Accounting Sciences from PUC – Minas Gerais (1996). Postgraduate in External Auditing from Federal University of Minas Gerais (2001). Master in Business Administration at Fundação Cultura Dr. Pedro Leopoldo (2010). In his professional experiences, he held the position of accounting assistant at Banco Agrimisa S.A. (1986-1996), served as accounting superintendent at Inter (1996-2022), was assistant professor at the following institutions: PUC – Minas Gerais (2002), Faculdade Centro Educacional Mineiro (2014-2016), College of Business Sciences (2014-2016), 2008 – 2013) and Faculdade Asa de Brumadinho (2003-2008). He was a member of the IFRS Committee of the Regional Accounting Council of Minas Gerais – Biennium (2008 – 2009), and a member of the Accounting Committee of Febraban and ABBC.

 

Maria Fernanda Veloso Pires

Dra. Maria Fernanda holds a law degree from PUC-MG, Masters in Administrative Law from UFMG, PhD in Public Law from PUC-MG and specialization in Urban Law from PUC-MG.

She worked as a substitute Court Judge at the Regional Electoral Court of the State of Minas Gerais from 2008 to 2010, has written several books and publications in the area. Besides the academic experience, she works with Public Law. She is a partner in Carvalho Pereira, Fortini Advogados, President of the Minas Gerais Institute of Administrative Law – IMDA and teacher of Administrative and Urban Law.

Fiscal Council

The fiscal council has as its main obligations to oversee the actions of the administration, analyze the company’s financial reports, and communicate its findings to the shareholders. The Company’s Fiscal Council will operate on a non-permanent basis and, when installed, will be composed of 03 (three) effective members and an equal number of alternates, shareholders or not, elected and dismissible at any time by the General Meeting. Tiago Curi Isaac

Election date: 04.2024 / End of term: Shareholder’s meeting approving the 2024 fiscal year accounts

Tiago graduated in Business Administration from Trevisan College, having also finished specialization programs in administration at Esade Business School and Wharton School. He has experience in business administration, serving as a member of Boards of Directors and Boards of Auditors. Currently, he is the president of the Fiscal Council of Pet Center Comércio e Participações S.A.; he sits on the Board of Directors of Klabin S.A., Banco do Estado de Sergipe – BANESE, Brainvest Wealth Management, and Festcolor; and he is a member of the Audit Committee of MetroRio and ATG. He was also CEO of DHG Alimentos S.A., Audit Committee member of Totvs S.A., Board member of the Brazilian Association of Publicly Traded Companies (ABRASCA), and responsible for the Capital Markets area of B3 S.A. – Brasil, Bolsa, Balcão.

 

 

Rafaela Rocha França Dumont

Election date: 04.2024 / End of term: Shareholder’s meeting approving the 2024 fiscal year accounts

Rafaela has over 22 years of experience in the corporate market, particularly in the areas of Healthcare, Innovation, Technology, and Business, where she has built his career by driving transformations and maximizing results, guided by solid values and corporate governance principles. She has relevant experiences as an Executive, Advisor, Entrepreneur, and Educator in prominent institutions such as Mater Dei Health Network, Academia Mineira de Medicina, ABCIS, SUCESU-MG, Board Academy, São Camilo University Center, and disruptive companies like CTRL+S, GOTODATA, and GHAP Startups.

Alceu Alves da Silva

Mr. Alceu has a degree in accounting, a post-graduate degree in Hospital Administration and has attended the Formation of Board Members program offered by the Brazilian Institute of Corporate Governance – IBGC. He is Vice-President of MV, a leading company in the segment of Information Technology in the health area, with operations in the entire national territory and in Latin America. He is a Board Member of Real Hospital Português – Recife – PE, of Hospital Santa Lúcia – Cruz Alta – RS and of Instituto RAIAR, a private institution destined to the Literacy of Children. He is a Professor and Consultant in the health area of Fundação Dom Cabral, of the Post-Graduation Course of Fasaúde – Porto Alegre-RS, of Universidade do Vale do Rio dos Sinos – UNISINOS – São Leopoldo – RS and of FEEVALE – Novo Hamburgo-RS. He is a full member of the Brazilian Academy of Hospital Administration – since October 1997. He was a board member of Mater Dei Health Network for 10 years – Belo Horizonte – MG, was a board member of Hospital Anchieta – Brasília – DF, was a board member of Hospital Santa Luzia – Brasília – DF, was a board member of Hospital do Coração – Brasília – DF, was a board member of SLAM – Health Operator – Brasília – DF and was a board member of Grupo Hospitalar Conceição – Porto Alegre – RS. During his career he has worked 46 years as an executive in the public and private health network, including in the Ministry of Health.

Alessandra Kardouss

Alessandra graduated in Economics from Mackenzie University, with an MBA in Business Economics from the University of São Paulo – USP. Currently, she is a partner at IC Consultoria e Finanças, providing specialized consultancy in financial management, planning, and cost strategy. She was a member of the Fiscal Council of Mercaprev – Pension Fund of Financial and Capital Market Institutions, as well as the Brazilian Financial Education Association (AEF). She also served as Superintendent of Controllership and Financial Planning, being responsible for financial planning in the merger operation of BM&FBovespa and Cetip in 2017.

Eduardo Augusto Franklin Rocha

He is a lawyer and partner of José Anchieta da Silva Advocacia – JASA, holds a law degree from PUC/MG, and a Master’s degree in Business Law from Faculdade de Direito Milton Campos – FDMC. He is a member of the Institute of Lawyers of Minas Gerais – IAMG, of the Brazilian Institute of Business Law – IBRADEMP and of the Council of Legal Affairs of Business Law of ACMINAS. He has experience as a professor at IBMEC/MG, UMA University Center and Cândido Mendes University – RJ, besides being the author and co-author of several publications.
